CSP Triennial Purchasing
1. Commitment & Payment
Partners are liable for the full three-year commitment term for all transactions, including initial orders, seat increases, and modifications. All such transactions require upfront payment prior to provisioning. Initial orders will be provisioned based on valid monthly quotes. It is the Partner's responsibility to ensure adequate credit or pre-payment is available to prevent delays or price changes.
2. Pricing and Seat Adjustments
Additional Seats added to existing subscriptions will be quoted on a pro-rata basis. The invoiced amount will align with the provided quote, regardless of actual provisioning date.
3. Anniversary Billing
All anniversary payments must be received before the applicable anniversary date. While Synnex will endeavour to provide reminders, it remains the Partner's responsibility to manage and monitor all billing cycles.
4. Provisioning Requests and Timing
Any subscription provisioning or modification requests will only be processed during Synnex business hours (excluding public holidays). Partners should allow for appropriate lead time and consider Microsoft grace periods. Cancellations or seat reductions requested within seven (7) days of provisioning may incur administration fees.
5. Upgrade and Credits
Upfront payment is required before upgrades are processed. Any resulting credits will be issued in accordance with Microsoft's billing cycle.
6. Auto-Renewal Policy
Auto-renewal will be disabled by default for all triennial subscriptions. Partners are responsible for tracking renewal dates and managing their continuation or termination. Cancellations must be requested within seven (7) days from the exact time of provisioning. A completed cancellation form must be submitted during Synnex business hours within this period.
7. Microsoft Policy Adherence
All transactions and provisioning are subject to Microsoft's current CSP program terms and policies. Any changes made by Microsoft that impact billing, subscription management, or lifecycle terms will be reflected accordingly.
